These Terms of Service ("Terms") govern your access to and use of the Emjay Technologies website and services. By using our website or engaging our services, you agree to be bound by these Terms.

1. Professional Services

Emjay Technologies provides environmental consulting services including, but not limited to:

  • Environmental due diligence and site assessments
  • Contaminated land advisory services
  • Environmental risk management and monitoring
  • Site inspection and technical advisory services

All services are provided subject to a written engagement agreement that specifies scope, deliverables, fees, and timeline.

2. Engagement and Scope

  • Services commence upon receipt of a signed engagement letter or purchase order
  • Scope of work is limited to what is explicitly stated in the engagement agreement
  • Any variations to scope must be agreed in writing and may result in additional fees
  • We reserve the right to decline or terminate engagements at our discretion

3. Fees and Payment

  • Fees are specified in the engagement agreement or quote
  • Payment terms are typically net 14 days from invoice date unless otherwise agreed
  • Late payments may incur interest charges and collection costs
  • Additional costs (e.g., laboratory analysis, travel, specialist subcontractors) are charged as specified in the engagement agreement

4. Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete information relevant to the engagement
  • Granting safe and timely site access when required
  • Obtaining necessary permissions and approvals for site access and works
  • Reviewing and providing timely feedback on deliverables
  • Disclosing known or suspected hazards, contamination, or site risks

5. Deliverables and Use

  • Reports and deliverables are prepared for the named client and stated purpose only
  • Third parties should not rely on our reports without our express written consent
  • Reports are based on information available at the time and are subject to stated limitations
  • We retain copyright in all deliverables; clients receive a license to use for the intended purpose

6. Limitations and Disclaimers

  • Environmental assessments are professional opinions based on available information and observations
  • Site investigations involve sampling that cannot detect all potential contamination
  • We do not warrant or guarantee specific outcomes from our advice
  • Hidden or inaccessible conditions may exist that were not identified during assessment

7. Liability

To the extent permitted by law:

  • Our liability is limited to the fees paid for the specific service giving rise to the claim
  • We exclude liability for indirect, consequential, or economic losses
  • Clients must notify us of any claim within 6 months of discovering the issue
  • Claims must be brought within 2 years of service completion

Nothing in these Terms excludes liability that cannot be excluded under Australian law.

8. Professional Standards

We adhere to:

  • Relevant Australian Standards and industry best practices
  • Queensland environmental legislation and guidelines
  • Professional codes of conduct and ethics
  • Appropriate professional indemnity insurance coverage

9. Confidentiality

  • We treat client information as confidential subject to legal and professional obligations
  • We may use anonymised case studies for marketing with client consent
  • Confidentiality obligations survive termination of the engagement

10. Intellectual Property

  • We retain ownership of all intellectual property in our methodologies, templates, and work products
  • Clients receive a non-exclusive license to use deliverables for the agreed purpose
  • Clients may not reproduce or distribute our reports without consent

11. Termination

  • Either party may terminate an engagement with written notice
  • Upon termination, clients must pay for work completed to date
  • We will provide work-in-progress materials upon request

12. Website Use

  • Website content is for general information purposes only
  • Information on this website does not constitute professional advice
  • We may update website content without notice
  • Users must not misuse the website or attempt unauthorised access

13. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes will be subject to the exclusive jurisdiction of the Queensland courts.
